Terms and Conditions

1. Agreement Overview

These Terms and Conditions govern the professional relationship between IBuildYourDirectory.com, a service of The Keyword Company, by Till Kahlen ("Developer", "we", "us") and the client ("you", "your") for web development services, specifically focusing on directory website development and related services.

2. Services

We provide web development services including but not limited to:

• DirectoryStack setup and customization
• Custom directory development
• Directory consultation and optimization
• Technical support and maintenance

3. Project Scope and Deliverables

For custom developments, the specific scope of work, deliverables, and timeline will be detailed in a separate project proposal or statement of work. Any modifications to the agreed scope must be documented in writing and may affect pricing and timeline.

For DirectoryStack setups, the scope of work is as follows:

• 1-hour onboarding call (remote, via Cal.com or Google Meet) during regular business hours
• Walkthrough of the DirectoryStack platform
• IDE & package manager setup and configuration (VSCode, Cursor, etc.)
• Source code integration into your local development environment
• Necessary third-party services setup and configuration
• Deployment via Vercel and connection of custom domain (if desired)
• Questions and answers on any topic related to the DirectoryStack platform

4. Payment Terms

• Payment schedules will be specified in the project proposal
• Setup calls require full payment before scheduling
• Custom development projects may require a deposit
• All prices are in USD unless otherwise specified
• Late payments may result in work suspension

5. Intellectual Property

Upon full payment, you receive ownership rights to the final deliverables. However:

• DirectoryStack remains our intellectual property
• Third-party assets maintain their original licenses
• We retain the right to showcase the work in our portfolio

6. Client Responsibilities

You agree to:

• Provide necessary content and materials in a timely manner
• Review and provide feedback within agreed timeframes
• Maintain any required third-party subscriptions or services
• Ensure you have rights to all provided content

7. Limitation of Liability

We strive for excellence but cannot guarantee specific business outcomes. Our liability is limited to the amount paid for services. We are not responsible for:

• Third-party service disruptions
• Business losses or damages
• Content accuracy or legality
• Search engine rankings or performance

8. Termination

Either party may terminate the agreement with written notice. You will be responsible for payment for work completed up to the termination date. Termination fees may apply as specified in the project proposal.

9. Confidentiality

We maintain strict confidentiality regarding your business information and project details. However, we may disclose the fact that you are a client and include completed work in our portfolio unless explicitly agreed otherwise.

10. Governing Law

These terms are governed by the laws of Germany. Any disputes shall be resolved in the courts of Hamburg, Germany.
